Terms of Use
Amten Learn courses are generated by AI and can contain mistakes. They are for general education only, not professional advice: check the cited sources before relying on anything.
1. Agreement to these terms
These Terms of Use (the "Terms") are a binding agreement between you and Amten ("Amten", "we", "us" or "our") and govern your access to and use of Amten Learn, including the website at learn.amten.ai, its courses, narration, quizzes, the Ask feature, the public showcase and every related service (together, the "Service").
By creating an account, building or watching a course, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and, where they apply, our Credit Terms and Creator Terms, which are part of these Terms. If you do not agree, do not use the Service.
PLEASE READ SECTION 17 CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES BETWEEN YOU AND AMTEN ARE RESOLVED.
2. Eligibility
You must be at least 18 years old to create an account. By creating an account you confirm that you are 18 or older, that you can form a binding contract, and that you are not barred from using the Service under any applicable law. Anyone may watch the free portion of public courses without an account, but people under 18 may do so only with the involvement of a parent or guardian.
If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.
3. What the Service does
Amten Learn uses artificial intelligence to turn a learning request into a course. To do so it searches for and reads publicly available sources, plans an outline, writes slides and narration, generates illustrations, synthesizes a narrator's voice, writes quizzes, and answers questions about a course. Most of what you see and hear in a course is produced by AI models, including models operated by third parties, with limited or no human review.
We may change, add or remove features, change which AI models or providers we use, or suspend or discontinue all or part of the Service at any time, with or without notice. Some features are previews or experimental and may be unreliable.
4. AI-generated content: important disclaimers
Courses, narration, summaries, quiz questions and answers, explanations, Ask responses, illustrations and other material the Service produces ("AI Output") are generated automatically. You understand and agree that:
- AI Output can be wrong. It may be inaccurate, incomplete, out of date, misleading, biased, oversimplified or offensive, and it may state incorrect information with confidence. It may misread, misquote or misattribute a source, or present a claim that its cited source does not support.
- Citations and checks do not guarantee accuracy. Our source vetting, fact-checking, moderation and quality steps are automated and imperfect. A citation, a "checked" or "confirmed" label, a quality score or a featured or published status is not a promise that anything is correct.
- Sources are third-party material. We do not author, endorse or verify the sources a course draws on, and we are not responsible for their accuracy, availability or content.
- AI illustrations and voices are synthetic. Pictures labelled as AI illustrations or AI-generated images do not depict real events, people or objects, even when they look photographic. The narrator's voice is synthesized and is not a real person speaking.
- Similar requests can produce different results, and results may resemble material produced for other people.
You are responsible for evaluating AI Output before relying on it, including by checking the original sources and, where it matters, consulting a qualified professional.
5. Not professional advice
The Service is for general educational and informational purposes only. NOTHING IN THE SERVICE IS MEDICAL, HEALTH, MENTAL HEALTH, LEGAL, FINANCIAL, INVESTMENT, TAX, ACCOUNTING, ENGINEERING, SAFETY OR OTHER PROFESSIONAL ADVICE, AND IT IS NOT A SUBSTITUTE FOR ADVICE FROM A QUALIFIED PROFESSIONAL WHO KNOWS YOUR CIRCUMSTANCES. Using the Service does not create a doctor–patient, attorney–client, fiduciary or any other professional relationship.
Do not use the Service, or any AI Output, as the basis for decisions about your health, legal rights, money, safety or other matters of consequence without independent verification. Never disregard professional advice or delay seeking it because of something you learned through the Service. If you think you may have a medical or other emergency, contact your local emergency services immediately.
Do not use the Service for any high-risk purpose where an error could lead to death, personal injury, or serious property, environmental or financial harm, including medical diagnosis or treatment, operating vehicles or machinery, or professional certification or licensing decisions. Completing a course, passing a quiz or checkpoint, or receiving a score does not certify knowledge, competence or qualification, and is not an accredited credential.
6. Your account
You must give accurate information when you sign up, including your year of birth, and keep it current. You are responsible for keeping your sign-in credentials secure and for everything that happens under your account. Tell us promptly at legal@amten.ai if you think your account has been used without permission.
You may not share, sell or transfer your account. We may refuse, suspend or close an account at our discretion, including where we believe information you gave is false.
7. Credits and limits
Building courses and using some features consumes credits. Credit allowances, budgets, rate limits and spending caps are described in the Service and in the Credit Terms, and we may change them. Credits have no cash value, are not property, cannot be transferred or redeemed for money, and may expire. Unless the Credit Terms or applicable law say otherwise, credits are not refundable. A build may stop, pause or finish partially when a limit is reached.
8. Your content
"Your Content" means what you give the Service: your learning requests and goals, descriptions of yourself, links or sources you add, questions you ask, quiz answers, choices you make and any feedback. You keep whatever rights you have in Your Content.
You grant Amten a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, transmit, adapt and display Your Content as needed to operate, secure, improve and provide the Service, including by sending it to the third-party service providers described in our Privacy Policy. This license ends when Your Content is deleted from the Service, except for copies kept as described in the Privacy Policy, in backups, or as required by law.
You confirm that you have all rights needed to give us Your Content, and that Your Content and our use of it as these Terms allow will not infringe anyone's rights or break any law. Do not include sensitive personal information about yourself or others (such as health details, government identifiers or financial account numbers) in requests, questions or links.
9. Courses and AI Output
Subject to these Terms, you may use the AI Output in courses you build or watch for your own personal, non-commercial learning. To the extent Amten has rights in AI Output, Amten retains them, and we may use, reproduce and display AI Output, including courses and illustrations, to operate and improve the Service; illustrations may be reused in other learners' courses as described in our Privacy Policy. AI Output may not be protected by copyright, may be similar to output produced for others, and may include or be derived from third-party material, so we do not warrant that you have, or can obtain, exclusive or any intellectual property rights in it.
You may not represent AI Output as human-written or as professional advice, or remove the citations, AI labels or disclosures that accompany it when you share it.
10. Publishing courses
If you publish a course to the public showcase, the Creator Terms also apply. Published courses can be watched, searched and shared by anyone, with the byline you choose. Some courses, including medical, legal and financial topics, may require review before they appear. We may moderate, correct, hide, decline, remove or take down any published course at any time and for any reason, and we are not obliged to publish or keep publishing anything. Publishing or featuring a course is not an endorsement of its accuracy.
11. Acceptable use
You agree not to, and not to help anyone else to:
- break any law or regulation, or infringe or misappropriate anyone's intellectual property, privacy or other rights;
- request, create or share content that is illegal, sexually exploits minors, harasses, threatens, defames or promotes violence or discrimination against any person or group, or that provides instructions for weapons capable of mass harm, serious crime or self-harm;
- try to make the Service produce content that impersonates a real person or organization, or misleads people about its source or nature;
- attempt prompt injection, jailbreaks or other techniques to bypass our moderation, safety, accuracy or usage controls, or use links or sources designed to manipulate the Service;
- use the Service to collect or compile personal information about others;
- access the Service by automated means (bots, scrapers, crawlers) except through features we provide, or copy, scrape or harvest courses, sources or AI Output in bulk;
- use the Service or AI Output to develop or train a competing product or AI model;
- reverse engineer, decompile or attempt to extract source code, model prompts or underlying systems, except where the law expressly allows it despite this restriction;
- probe, scan or test vulnerabilities, interfere with or overload the Service, or circumvent rate limits, credit budgets or access controls;
- create multiple accounts to get around limits or a suspension, or resell or sublicense access to the Service.
We may investigate suspected violations, remove content, and suspend or close accounts. We may report activity we believe is unlawful to the authorities.
12. Our intellectual property
The Service, including its software, design, house styles, visual library, voices, text, logos and trademarks, is owned by Amten or its licensors and protected by intellectual property laws. Apart from the limited rights in these Terms, we grant you no rights in it. If you send us feedback or suggestions, we may use them freely without any obligation to you.
13. Third-party sources, services and links
The Service relies on, links to and displays material from third-party websites, publishers, search providers, AI model providers and other services that we do not control. We are not responsible for them, and your use of them may be governed by their own terms. Access to a source does not grant you any right to reuse its content beyond what its owner or the law permits.
14. Copyright complaints
We respect intellectual property rights. If you believe material on the Service infringes your copyright, send a notice to legal@amten.ai with: your contact details; a description of the copyrighted work; the location of the material on the Service (such as the course link and slide); a statement that you believe in good faith that the use is not authorized by the owner, its agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove material and close the accounts of repeat infringers.
15. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, ALL AI OUTPUT AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. AMTEN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS (THE "AMTEN PARTIES") DISCLAIM ALL WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE ABOVE, THE AMTEN PARTIES DO NOT WARRANT THAT: (A) ANY AI OUTPUT, COURSE, CITATION, QUIZ, ANSWER OR SOURCE IS ACCURATE, COMPLETE, CURRENT, SAFE, LAWFUL OR SUITABLE FOR ANY PURPOSE; (B) THE SERVICE WILL MEET YOUR NEEDS OR PRODUCE ANY PARTICULAR LEARNING OUTCOME; (C) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT COURSES WILL FINISH BUILDING; OR (D) ANY DATA, COURSE OR PROGRESS WILL BE PRESERVED. YOU USE THE SERVICE AND RELY ON ANY AI OUTPUT ENTIRELY AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case the exclusions apply to the fullest extent the law allows.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE AMTEN PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY OR REPUTATION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY AI OUTPUT, ANY THIRD-PARTY SOURCE OR SERVICE, OR THESE TERMS, INCLUDING ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON AI OUTPUT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF AN AMTEN PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AMTEN PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AMTEN FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations are an essential part of the bargain between you and Amten and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you; in that case our liability is limited to the fullest extent the law allows. Nothing in these Terms limits liability that cannot be limited by law.
17. Disputes, arbitration and class action waiver
Informal resolution. Before starting any claim, you agree to contact us at legal@amten.ai with a description of the dispute and try in good faith to resolve it for at least 60 days.
Binding arbitration. Except for the exceptions below, any dispute, claim or controversy arising out of or relating to the Service or these Terms (a "Dispute") will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator. The arbitration will take place in San Mateo County, California, or, at your request, by video conference or in the county where you live. The Federal Arbitration Act governs this section. The arbitrator decides all issues, except that a court decides questions about the scope, enforceability and validity of the class action waiver. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to stop misuse of the Service.
CLASS ACTION AND JURY TRIAL WAIVER. YOU AND AMTEN EACH AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND YOU AND AMTEN EACH WAIVE THE RIGHT TO A JURY TRIAL. If this waiver is found unenforceable for a claim, that claim will be decided in court, not arbitration, and the rest of this section still applies.
Opt-out. You may opt out of this arbitration agreement by emailing legal@amten.ai within 30 days after you first accept these Terms, stating your name, the email address of your account and that you opt out of arbitration.
Time limit. To the extent permitted by law, any Dispute must be brought within one year after it arises, or it is permanently barred.
18. Governing law and venue
These Terms and any Dispute are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and, where applicable, the federal laws of the United States. For any Dispute not subject to arbitration, you and Amten consent to the exclusive jurisdiction and venue of the state and federal courts located in San Mateo County, California.
19. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Amten Parties from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, courses you publish, your use of the Service or AI Output, your reliance on AI Output, or your breach of these Terms or of any law or third-party right.
20. Suspension and termination
You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access, delete courses or content, or close your account at any time, with or without notice, if we believe you have broken these Terms, to protect the Service or others, to comply with law, or if we discontinue the Service. Sections that by their nature should survive termination, including sections 4, 5, 8, 9 and 12 to 22, survive it.
21. Changes to these terms
We may update these Terms from time to time. When we make material changes we will update the version date at the top and ask you to accept the new Terms the next time you use the Service. If you continue to use the Service after accepting, or after the effective date of the change, the updated Terms apply. If you do not agree, stop using the Service.
22. General
These Terms, together with the documents they refer to, are the entire agreement between you and Amten about the Service and replace any earlier agreements. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. There are no third-party beneficiaries. Notices to you may be sent to your account email or shown in the Service.
For California residents: under California Civil Code section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
